Company Management
We provide new company formations, and integration of those new companies into your existing corporate structure. In combination with this, we deal with any changes of name, boards of directors, year ends, and also address any share transfers which are required as well as any changes in the shareholdings.
In addition, we will check and reconcile your statutory books with Companies House records to ensure compliance with corporate secretarial regulations as well as dealing with any dividend distributions or capital contributions.
We will also deal with the filing of any statutory forms such as your annual return, giving you peace of mind and allowing you to concentrate on your core business.
Board Support
We will schedule board meetings and set agendas of the business to be discussed and also attend (either in person or by telephone) at those meetings to record the business discussed.
In addition, we will circulate and deliver relevant papers ahead of any board meeting ensuring that all directors are full appraised of the agenda issues.
Compliance
We provide practical, tailored advice and assistance on the complex areas of:
- the responsibilities, powers and duties of directors
- the role of non-executive directors
- the Data Protection Act 1998
- anti-money laundering
- anti-bribery and corruption
Whilst the Companies Act 2006 no longer requires a company to appoint a company secretary, this has meant that the duties of the company secretary now fall on a company’s directors who in many ways are now seen as the guardians of a company’s proper compliance with both the law and best practice.
